Job Tasks and Responsibilities

Reporting to the Senior Manager – Compliance & Legal, this role involves the provision of company secretary, compliance and related legal support on a broad range of issues across the organisation. The Corporate Governance & Compliance Officer will also assist with the preparation of documents necessary to comply with the relevant regulations in conducting business activities. Responsibilities include, but are not limited to:

  • Supporting company secretarial and corporate governance function and activities to ensure compliance with Australian and Hong Kong regulatory and group governance requirements. This includes advising on corporate governance and compliance with the Corporations Act and relevant listing rules and internal approval processes.
  • Providing assistance with arranging and coordinating management, board and board committee meetings, shareholder meetings and meetings of Group subsidiary companies including the agenda, compiling and circulating papers prior to the meeting, taking minutes and initiating and directing action to give practical effect to decisions.
  • Maintaining the Company and statutory registers, governance records, policies and document management systems and ensuring the retention of Company documents and records.
  • Ensuring completion and lodgement of statutory forms, returns and reporting under any relevant legislation or regulation.
  • Assisting with preparation and verification of periodic reports, and internal approval processes.
  • Assisting with disclosure requirements with respect to employee share scheme.
  • Assisting with responding to any legal related queries when required.
  • Assisting with compliance with Company policies, protecting corporate information and the Company’s intellectual property.
  • Assisting the Co Sec, Compliance, & Legal teams on any other ad hoc tasks as required.

Skills and Experience

  • Bachelor’s degree in law, Commerce, or other relevant degree.
  • Graduate Diploma of Applied Corporate Governance and Risk Management desirable.
  • 3-5 years’ experience in a similar role, ideally in a law firm or within corporate governance or compliance functions, with strong exposure to company secretarial matters.
  • Demonstrated experience supporting governance and statutory compliance within the Australian regulatory environment, including the ASX Listing Rules and Corporations Act 2001 (Cth). Exposure to HKEX Listing Rules desirable.
  • Experience in the resources/mining sector, joint ventures or working with multinational organisations is desirable.
  • Corporate law skills and experience.
  • Strong English verbal and written communication skills with Mandarin language skills desirable.
  • Strong business acumen.
  • Highly developed writing skills, including the preparation of board papers, minute taking, correspondence, and governance materials.
  • Exceptional accuracy and attention to detail, with strong organisational and time management skills.
  • A collaborative and trusted team member who values integrity and professionalism, works effectively within a team environment, builds strong relationships, and supports high‑quality compliance and governance outcomes.
