About the Role

We are looking for a Corporate Counsel based in Brisbane to work closely with Rio Tinto’s Corporate functions to safeguard the Group’s legal and financial position, improve legal performance and effectively manage legal risks and costs.
Reporting to the Chief Counsel, M&A and JVs, you will support the Corporate Legal team in the delivery of creative and pragmatic legal advice and collaborative support in a complex, fast-paced and challenging environment by:
- Providing corporate legal support on joint ventures, including shareholders documentation, governance matters and annual Rio Tinto joint venture compliance review.
- Providing corporate legal support on M&A transactions and restructuring, including transaction planning, transaction documentation drafting and review, document management and due diligence.
- Advising on growth and venture capital investments, including due diligence, review and drafting of transaction documentation and negotiations.
- Horizon-scanning and monitoring for risks and opportunities in corporate legal, M&A and joint venture matters.
- Capturing, sharing and leveraging learnings from corporate law matters across the Group.
- Supporting the Corporate Legal team in managing external law firm partnerships and in effective and efficient management of budget and resources.
What you will bring;
You are a trusted contributor with corporate legal experience (ideally, in a law firm with some prior in-house experience). You should also bring:
- Strong legal, analytical and project management skills, preferably with experience in M&A and/or venture capital investments.
- An understanding of financial, corporate legal and governance drivers in a multinational company.
- Willingness to engage with senior leaders and working collaboratively with their teams to meet shared business objectives.
- An ability to think laterally across different technical areas, to be open to ideas and other viewpoints, and to work with a team to find pragmatic and risk-based solutions to issues.
- Self-awareness and inter-personal skills to build key partnerships and relationships with both internal and external stakeholders of all levels.
