The Opportunity – Permanent, Full Time Position
The newly created position of Group Manager, Legal Corporate and Commercial, will be responsible for managing the corporate and commercial legal team to deliver independent counsel on key legal and governance matters affecting the South32 Group, including acquisitions and divestments, joint ventures, projects, treasury, energy, sustainability, social performance, marketing/commodities, competition, regulatory compliance, as well as broader functional support.
Reporting to the VP Legal, the GM, Legal Corporate and Commercial will be responsible for:
- Lead the Corporate and Commercial Legal team to ensure alignment to South32 strategy, operating principles and behaviours, and performance of the mandate and Business Plan
- Create a safe, inclusive and performance focused team culture
- Establish and maintain relationships with client groups to act as a key point of contact
- Provide independent and strategic legal advice on areas within the accountability of the Corporate and Commercial Legal team
- Ensure effective engagement with other South32 Legal and External Affairs teams across the globe to ensure matters are managed corporately and reflective of local jurisdictional issues as they relate to the global functions
- Monitor developments in legislation and corporate governances’ practices globally, identify legal and governance risks, assess the impact(s) on the Company and advise on the management of these risks
- Maintain governance frameworks for the legal review of contracts, regulatory compliance, litigation, and dispute resolution, and oversee maintenance and assurance
- Participate in relevant functional leadership teams
- Manage accountable costs in line with budget
About You
- Experience in a similar role, in corporate/commercial law, both domestically and internationally within the resources sector
- Exposure to acquisitions and divestments across multiple jurisdictions, tenure in the mining industry, exploration, corporate, treasury, and financing, stock exchange requirements, marketing contracts, disputes, regulatory issues, force majeure, ports, trading and hedging, joint venture agreements, corporate governance, continuous disclosure and company secretarial matters, health, safety, and the environment, commercial, infrastructure, projects, sustainability, social performance, climate change, and carbon trading, regulatory compliance competition, risk management.
- Excellent verbal and written communication with people at all levels
- Able to lead change and adjust to it, effective in ambiguous situations.
- High achiever, inspired, upbeat, enthusiastic, and performance-oriented
- A history of leading by example and accepting responsibility
- Possesses the capacity to operate autonomously, and track record of leading a team well and adding value to it

Qualifications
- Minimum 10-15 years PQE and/or qualification in Law, admitted to practice in Australia (other jurisdictions desirable)
