Our Team

The Legal team is part of the Legal and External Affairs function at South32, reporting to the Chief Legal and External Affairs Officer.  The Legal and External Affairs function plays a critical role in all aspects of South32 delivering on its purpose.

The Opportunity – 12mth Fixed Term Position

The position of Senior Legal Counsel will be responsible for acting as a key business partner for South32 corporate functions including Corporate Development, Treasury and External Affairs (“Client Group”).  They are responsible for providing the Client Group with independent legal support and advice to ensure legal risks are identified and managed in accordance with the values, strategy, and commercial objectives of South32.

Reporting to the manager of the Corporate and Commercial Legal team, key role accountabilities include:

• Establishing and maintaining relationships with the Client Group and providing advice on corporate and treasury matters generally
• Supporting the identification of legal risks affecting the Client Group and advising on the management of those risks
• Supporting corporate development activities relating to M&A, joint ventures, our royalty portfolio, exploration farm-in arrangements and any related disputes
• Supporting our Treasury team in relation to external financing and internal capital management
• Providing independent legal advice to all Client Groups on corporate and treasury related matters, transactions and dispute resolution

About You

You will be required to have the following:

• General corporate law experience in a top tier law firm and/or in-house/secondment

• Acquisition and divestment transactional experience
• Capital markets (debt and/orequity and/or corporate finance experience 
• Developed understanding of business and legal issues associated with corporate and treasury related matters and dispute resolution
• Experience in transaction document development, drafting and negotiations with counterparties
• Joint venture experience

Exposure to the following would be considered advantageous:

• Strategic experience in cross border acquisitions and divestments
• Farm-in exploration and associated activity experience
• Disputes experience
• Sustainability and social performance

Qualifications

• Current Australian legally qualified and practising lawyer with at least 7 years PQE as a corporate lawyer

Location
